Abstract

Corporate governance establishes mechanisms through which companies are directed, monitored and held accountable. Directors’ duties commonly involve care, loyalty, good faith, conflicts of interest and responsibilities toward the company, while modern debates increasingly address sustainability and stakeholder interests. This paper examines the principal legal principles, scholarly debates, institutional mechanisms, practical implications and emerging challenges associated with the topic. It adopts an analytical and comparative perspective and emphasizes legal certainty, accountability, procedural fairness and effective remedies.
